Terms and Conditions

1. Scope and acceptance

These Terms govern access to the i9 Network website and, together with an accepted proposal, order form, subscription agreement, statement of work or similar written agreement (an “Order”), the Neurix products and services supplied by I9INIT LABS PRIVATE LIMITED (operating as i9 Network) (“i9 Network”, “we”, “us” or “our”). By using the website or accepting an Order, you agree to the documents that apply to that use.

If an Order conflicts with these Terms, the Order controls for that customer and transaction.

2. Services and ordering

Neurix is a business software platform for ISPs, telecommunications providers and enterprises operating networks, managed access or connected services. Product scope, deployment model, implementation work, integrations, service levels, support, subscription term and delivery milestones are agreed with each customer before payment in an Order.

A website enquiry, demonstration or proposal request does not by itself create an order. An Order becomes binding only when accepted in the manner stated in that document.

3. Pricing, taxes and payment

Neurix offers a free software tier for up to 100 subscribers with all core platform capabilities included. Separately requested implementation, migration, dedicated infrastructure, third-party services, premium support or other non-standard work may be quoted separately and will not begin without agreement.

Pricing beyond 100 subscribers is tailored after consultation rather than published as a general rate card. Before a payment is requested, the applicable proposal, Order or invoice will state the amount, currency, applicable taxes, billing frequency, one-time charges, subscription term and any renewal terms.

Payments may be processed by an authorised third-party payment gateway. We do not ask you to send card numbers, CVV, UPI PINs, banking passwords or one-time passwords to us. A pending or failed payment does not confirm an Order. Access is provided only after the payment status is verified where advance payment applies.

Customers are responsible for providing correct billing and tax information. Late, reversed or disputed payments may result in delayed activation or suspension after notice, subject to the applicable Order and law.

4. Customer accounts

You must provide accurate business and authorised-user information, protect credentials, use appropriate access controls and promptly notify us of suspected unauthorised access. You are responsible for activity performed through your accounts unless caused by our breach of an applicable obligation.

5. Acceptable use

You must not use the website or services unlawfully; interfere with service integrity; attempt unauthorised access; distribute malware; misuse another person’s data; circumvent access controls; or reverse engineer, decompile or disassemble the services except where such restriction is prohibited by law.

6. Intellectual property

i9 Network and its licensors retain all rights in the website, Neurix, documentation, designs, software and related materials. Subject to the applicable Order, the customer receives a limited, non-exclusive, non-transferable right to use the subscribed services during the agreed term. Customer data remains the customer’s data.

7. Delivery, support and availability

Neurix is delivered electronically. Provisioning requirements and timelines are described in our Digital Delivery Policy and the applicable Order. Maintenance, support, service-level and availability commitments exist only when stated in an Order or service-level agreement.

8. Cancellation and refunds

Cancellation, non-renewal, duplicate charges, failed transactions and refund requests are handled under the applicable Order and our Cancellation and Refund Policy. Cancellation does not automatically reverse a payment already made or charges for services already delivered.

9. Data and confidentiality

Each party must protect the other party’s confidential information and use it only to perform the applicable agreement. Our processing of personal data is described in the Privacy Policy. Additional security, data-processing or residency terms may be agreed in an Order.

10. Third-party services

The services may interoperate with payment gateways, cloud services, network equipment, APIs and other third-party systems selected by the customer or identified in an Order. Third-party services are governed by their own terms and may change independently of i9 Network.

11. Warranties and liability

Except for express commitments in an Order and rights that cannot lawfully be excluded, the website is provided on an “as available” basis. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss. Any agreed liability cap and exclusions are stated in the applicable Order; nothing in these Terms excludes liability that cannot be excluded by law.

12. Suspension and termination

We may suspend access where reasonably necessary to address a security risk, unlawful use, material breach or overdue undisputed payment, using notice where practicable. Termination rights, cure periods, data export and post-termination obligations are governed by the applicable Order.

13. Governing law and disputes

The governing law, courts or arbitration mechanism specified in the applicable Order controls. If an Order does not specify these matters, applicable Indian law applies and the parties will first attempt in good faith to resolve a dispute through their authorised representatives before commencing formal proceedings in a court with lawful jurisdiction.

14. Changes and contact

We may update these website Terms to reflect service, legal or operational changes. The date above identifies the latest version. Changes to a signed Order require the process stated in that Order.
